These Terms of Service ("Terms") govern your access to and use of Private Gather, including PrivateGather.com, its websites, applications, software, community features, messaging systems, profiles, clubs, events, subscriptions, and related services (collectively, the "Service").

Private Gather is a service operated by Privora Labs ("Privora Labs," "Private Gather," "we," "us," or "our").

By creating an account, clicking an acceptance button, purchasing a subscription, accessing the Service, or otherwise using Private Gather, you agree to these Terms and all policies incorporated into them by reference.

If you do not agree to these Terms, you may not use Private Gather.

1. ADULTS ONLY — 18+ REQUIREMENT

Private Gather is an adults-only community.

You must be at least 18 years old to:

  • Create or maintain a Private Gather account;
  • Access the Service;
  • Appear in content uploaded to Private Gather;
  • Participate in adult-oriented portions of the Service;
  • Attend an event promoted or organized through Private Gather where participation requires adulthood; or
  • Otherwise use Private Gather.

If the age of majority or legal age applicable to particular activities in your jurisdiction is greater than 18, you must also satisfy that higher legal requirement.

By using Private Gather, you represent and warrant that:

  1. You are at least 18 years old;
  2. You are legally capable of entering into these Terms;
  3. Every person represented as part of your profile is at least 18 years old;
  4. Every identifiable person appearing in nude, sexually suggestive, or sexually explicit content you upload was at least 18 years old when that content was created;
  5. Every identifiable person appearing in content you upload has provided all consent required for creation and distribution of that content; and
  6. You will not allow a minor to access your account or adult portions of the Service.

Private Gather may require age, identity, or other verification at any time.

Failure or refusal to provide requested verification may result in content restrictions, loss of features, suspension, or termination.

2. ZERO TOLERANCE FOR CHILD SEXUAL EXPLOITATION

Private Gather has zero tolerance for child sexual exploitation, child sexual abuse material, grooming of minors, sexual solicitation of minors, or any attempt to use the Service to facilitate sexual activity involving minors.

You may not upload, possess through the Service, request, transmit, distribute, promote, solicit, link to, or otherwise make available:

  • Child sexual abuse material ("CSAM");
  • Nude or sexual images or videos involving anyone under 18;
  • Sexualized depictions of minors prohibited by law;
  • Content depicting or promoting sexual exploitation of minors;
  • Requests for sexual images or sexual activity from minors;
  • Communications intended to groom, exploit, or sexually solicit a minor;
  • Material intended to facilitate illegal sexual conduct involving minors; or
  • Any other content prohibited by applicable child-protection law.

Content created when a depicted person was under 18 remains prohibited even if that person is now an adult.

Private Gather may immediately:

  • Restrict or remove content;
  • Suspend or terminate accounts;
  • Preserve relevant records;
  • Restrict access to information;
  • Investigate activity; and
  • Make reports to NCMEC, law enforcement, or other authorities where required or permitted by law.

3. PURPOSE OF PRIVATE GATHER

Private Gather is an online social and lifestyle community for consenting adults.

Private Gather may provide tools that allow adults to:

  • Build profiles;
  • Share photographs and videos;
  • Communicate privately;
  • Publish posts and comments;
  • Connect with other members;
  • Form friendships;
  • Discover clubs;
  • Discover or promote events;
  • Participate in lifestyle communities;
  • Join groups;
  • Share interests;
  • Purchase membership features; and
  • Interact with other consenting adults.

Private Gather is not:

  • An escort service;
  • A prostitution marketplace;
  • A commercial-sex marketplace;
  • A sexual-services booking platform;
  • A trafficking service;
  • A medical service;
  • A background-check service;
  • A guarantee of personal safety;
  • A guarantee of compatibility;
  • A guarantee that users are truthful; or
  • A guarantee that a user will meet, date, communicate with, or engage in any activity with another user.

Private Gather does not sell sexual services.

4. CONSENT IS MANDATORY

Consent is a fundamental requirement of Private Gather.

Consent must be voluntary, informed, specific, and capable of being withdrawn.

Using Private Gather does not establish consent to:

  • Sexual activity;
  • Physical touching;
  • Kissing;
  • Photography;
  • Video recording;
  • Audio recording;
  • Sharing intimate content;
  • Entering a private home or hotel room;
  • Participating in a particular sexual activity;
  • Attending an event;
  • Continuing communication; or
  • Continuing an interaction after consent is withdrawn.

The following do not constitute sexual consent:

  • Having a Private Gather account;
  • Identifying as a swinger;
  • Posting nude photographs;
  • Having nude photographs in a profile album;
  • Sending an intimate image;
  • Discussing sexual interests;
  • Accepting a friend request;
  • Matching with another user;
  • Sending or receiving a message;
  • Attending an event;
  • Prior sexual activity; or
  • Prior consent.

Consent must be independently established between the individuals involved.

Private Gather may restrict or terminate accounts associated with credible reports involving sexual assault, coercion, stalking, threats, sexual extortion, nonconsensual recording, nonconsensual distribution of intimate material, or other dangerous or exploitative conduct.

5. ACCOUNT REGISTRATION

You agree to provide accurate information when creating and maintaining your account.

You may not:

  • Create an account for another person without authorization;
  • Impersonate another person;
  • Misrepresent your age;
  • Misrepresent your identity;
  • Misrepresent your relationship status;
  • Claim another individual is part of a couple or group without permission;
  • Create deceptive or fraudulent profiles;
  • Use another person's account without authorization;
  • Sell, rent, transfer, or purchase accounts;
  • Create replacement accounts to evade suspension or termination; or
  • Use automated systems to mass-create accounts.

You are responsible for maintaining the confidentiality and security of your login credentials.

Notify Private Gather promptly if you believe your account has been compromised.

6. COUPLE, GROUP, AND MULTI-PERSON PROFILES

Private Gather may allow profiles representing couples, groups, polycules, or other multi-person relationships.

The person creating or administering a multi-person profile represents that every adult represented by the account:

  1. Is at least 18 years old;
  2. Knows they are being represented on Private Gather;
  3. Has authorized their likeness and profile information to be used;
  4. Has consented to their inclusion on the profile; and
  5. Has consented to photographs or videos depicting them being uploaded where applicable.

Private Gather may require individual verification of persons represented on a shared profile.

If a represented person withdraws permission to be shown on a profile, Private Gather may require applicable photographs, names, descriptions, or other identifying content to be removed.

7. IDENTITY AND AGE VERIFICATION

Private Gather may provide identity, age, photo, or other verification systems.

Verification is intended to improve trust and reduce fraud.

Verification does not mean that Private Gather:

  • Guarantees a user's identity in every respect;
  • Guarantees a user's character;
  • Guarantees a user's relationship status;
  • Has performed a criminal background check;
  • Guarantees a user's medical or sexual-health status;
  • Guarantees a user is safe to meet;
  • Endorses the user; or
  • Guarantees that information provided after verification remains accurate.

Users remain responsible for exercising reasonable judgment when interacting with other members.

Private Gather may revoke verification when:

  • Verification information is found to be inaccurate;
  • An account changes materially;
  • Fraud is suspected;
  • Account ownership becomes uncertain;
  • Safety concerns arise; or
  • Verification requirements are no longer satisfied.

8. PROFILE MEDIA AND ADULT CONTENT

Private Gather is an adults-only community and permits lawful nudity and sexually explicit content involving consenting adults in designated areas of the Service.

The presence of lawful adult nudity alone does not constitute a violation of these Terms.

Nudity and sexually explicit content are not permitted in:

  • A member's primary profile photograph or avatar; or
  • A member's primary profile cover photograph.

Primary profile photographs and cover photographs may appear throughout broader portions of Private Gather, including:

  • Member searches;
  • Community feeds;
  • Recommendations;
  • Navigation areas;
  • Friend lists;
  • Messages;
  • Notifications; and
  • Other community interfaces.

These images must therefore remain non-explicit.

Private Gather may reject, restrict, crop, blur, replace, or remove a primary profile photograph or cover photograph containing prohibited nudity or sexually explicit material.

Lawful nudity and sexually explicit photographs or videos involving consenting adults may be uploaded to:

  • Additional profile photographs;
  • Profile galleries;
  • Photo albums;
  • Video galleries; and
  • Other profile media areas designated for member-uploaded content.

Such content remains subject to all age, consent, verification, visibility, moderation, and legal requirements contained in these Terms.

Lawful nudity and sexually explicit content involving consenting adults may be included in:

  • Community posts;
  • Post attachments;
  • Comments;
  • Comment attachments; and
  • Other user-generated community content where uploads are supported.

Private Gather may apply:

  • Blurring;
  • Adult-content warnings;
  • Age gates;
  • Verification restrictions;
  • Visibility restrictions;
  • Content classifications; or
  • Other safety measures.

Lawful nudity and sexually explicit content involving consenting adults may be transmitted through Private Gather's private messaging systems.

Private messaging does not eliminate the age, consent, ownership, or legality requirements contained in these Terms.

A recipient's willingness to receive an image or video does not substitute for the consent of the people depicted in that material.

9. AGE AND CONSENT REQUIREMENTS FOR PHOTOS AND VIDEOS

By uploading, posting, sending, transmitting, or otherwise making available a photograph, video, or other visual media through Private Gather, you represent and warrant that:

  1. Every identifiable person depicted was at least 18 years old at the time the photograph or video was created;
  2. Every identifiable person consented to being photographed or recorded as depicted;
  3. Every identifiable person has consented to the content being uploaded, transmitted, displayed, or distributed through Private Gather;
  4. You own the content or otherwise possess the legal rights and permissions necessary to upload and distribute it;
  5. You have not obtained the content through theft, unauthorized access, hacking, coercion, or deception;
  6. Distribution of the content does not violate another person's rights;
  7. Distribution does not violate applicable law; and
  8. You will not continue distributing the content if doing so becomes unlawful or otherwise violates these Terms.

Consent to being photographed or recorded does not automatically constitute consent to publication or distribution.

You are responsible for obtaining any separate permission necessary to upload, transmit, display, or distribute content through Private Gather.

10. PROHIBITED INTIMATE CONTENT

Private Gather prohibits intimate, nude, or sexual content that is illegal, exploitative, or distributed without legally sufficient authority.

Prohibited content includes:

  • Child sexual abuse material;
  • Nude or sexual depictions of anyone under 18;
  • Nonconsensual intimate imagery;
  • Revenge pornography;
  • Hidden-camera sexual content created without legally sufficient consent;
  • Voyeuristic intimate material created or distributed unlawfully;
  • Stolen intimate content;
  • Hacked intimate content;
  • Sexual exploitation material;
  • Human-trafficking material;
  • Content depicting actual sexual assault or actual nonconsensual sexual activity;
  • Intimate images distributed for blackmail or extortion;
  • Content distributed after the uploader has lost the legal right to distribute it;
  • Intimate material whose required consent cannot reasonably be established when requested; and
  • Sexually explicit AI-generated, digitally altered, or manipulated imagery using the recognizable likeness of a real person without legally sufficient consent.

These restrictions apply to:

  • Profiles;
  • Albums;
  • Galleries;
  • Posts;
  • Comments;
  • Messages;
  • Group communications;
  • Events; and
  • Every other area of Private Gather.

11. WITHDRAWAL OF CONSENT AND INTIMATE-IMAGE REMOVAL

Private Gather respects the rights of individuals depicted in intimate content.

If an identifiable person claims that intimate content depicting them was uploaded or distributed without consent, or that continued distribution is unlawful, Private Gather may immediately restrict or remove access to the content while reviewing the matter.

Private Gather may remove content when:

  • Required by law;
  • The uploader cannot reasonably establish authorization;
  • Distribution violates these Terms;
  • The depicted individual has a legally enforceable removal right;
  • Continued distribution creates a substantial safety concern; or
  • Private Gather otherwise determines removal is reasonably necessary.

A person depicted in intimate material may submit a removal request even if that person does not have a Private Gather account where required by applicable law.

Removal requests may be submitted to:

Private Gather may require information reasonably necessary to:

  • Identify the person depicted;
  • Identify the content;
  • Locate copies of the content;
  • Verify the authenticity of the request; and
  • Determine whether removal is required.

Private Gather will process legally valid requests within the timeframe required by applicable law.

Users agree to cooperate with legitimate investigations involving age, consent, ownership, or distribution rights.

12. AUTOMATED CONTENT SAFETY SYSTEMS

Private Gather may use:

  • Artificial intelligence;
  • Machine-learning models;
  • Image classifiers;
  • Video classifiers;
  • Hash matching;
  • Metadata analysis;
  • Pattern detection;
  • Automated moderation;
  • Human moderation; and
  • Other safety technologies.

These systems may evaluate content for:

  • Nudity;
  • Sexually explicit material;
  • Potential minors;
  • Suspected CSAM;
  • Nonconsensual intimate imagery;
  • Violence;
  • Fraud;
  • Spam;
  • Harassment;
  • Exploitation;
  • Prohibited solicitation; or
  • Other potential violations.

Automated systems are not perfect.

Content may sometimes be incorrectly classified.

Private Gather may temporarily:

  • Blur content;
  • Quarantine content;
  • Restrict content;
  • Prevent publication;
  • Require additional verification; or
  • Send content for review.

A determination by an automated system that content contains nudity does not, by itself, mean the content violates Private Gather's rules.

Lawful, consensual adult nudity may remain available in areas where adult content is permitted.

13. USER CONTENT

"User Content" includes:

  • Photographs;
  • Videos;
  • Profile information;
  • Posts;
  • Comments;
  • Messages;
  • Event listings;
  • Club listings;
  • Usernames;
  • Descriptions;
  • Reviews;
  • Reactions; and
  • Other material submitted through Private Gather.

You retain ownership of intellectual-property rights you hold in your User Content.

By submitting User Content, you grant Privora Labs and Private Gather a non-exclusive, worldwide, royalty-free license to:

  • Host;
  • Store;
  • Process;
  • Reproduce;
  • Resize;
  • Transcode;
  • Create technical derivatives necessary for display;
  • Moderate;
  • Display;
  • Transmit; and
  • Distribute

your User Content only as reasonably necessary to operate, provide, secure, moderate, improve, and administer the Service and the features you choose to use.

This license does not transfer ownership of your User Content to Privora Labs or Private Gather.

The license ends when applicable content is deleted from active systems, except where continued retention is reasonably necessary for:

  • Backups;
  • Legal compliance;
  • Fraud prevention;
  • Safety investigations;
  • Abuse investigations;
  • Evidence preservation;
  • Payment disputes;
  • Litigation;
  • Enforcement of these Terms; or
  • Other legitimate legal or security purposes.

14. RIGHTS OF PERSONS DEPICTED IN CONTENT

You may upload content depicting another identifiable person only when you have the legal right to do so.

You are responsible for obtaining applicable:

  • Consent;
  • Releases;
  • Licenses;
  • Copyright permissions;
  • Publicity permissions; and
  • Distribution permissions.

Possessing a photograph or video does not necessarily give you permission to publish or distribute it.

Private Gather may request evidence of:

  • Age;
  • Identity;
  • Consent;
  • Ownership;
  • Authorization; or
  • Distribution rights.

Private Gather may restrict or remove content when those rights cannot reasonably be established.

15. 18 U.S.C. §§ 2257 AND 2257A

Private Gather is an online community and technology platform operated by Privora Labs.

Private Gather does not employ, hire, contract with, manage, direct, or arrange performers for the purpose of producing sexually explicit member-generated content and does not itself create or commission member-uploaded sexually explicit content.

With respect to independently created member-generated content, Private Gather generally provides transmission, storage, retrieval, hosting, formatting, access-control, safety, moderation, and related online-platform services.

Private Gather does not consider itself a primary or secondary producer of member-generated content for purposes of 18 U.S.C. §§ 2257 or 2257A merely because it provides these platform services.

Lifestyle clubs, hosts, event organizers, partners, and other independent parties do not become subject to § 2257 or § 2257A recordkeeping requirements merely because they use Private Gather's hosting, community, club-management, website, event, ticketing, membership, admission, Door Mode, CRM, or related technology.

Private Gather does not impose § 2257 or § 2257A producer recordkeeping requirements upon a club, host, partner, member, or other independent party merely because that person or organization uses Private Gather.

Each member, club, host, partner, content creator, event organizer, or other independent person remains responsible for determining whether that person's own independent activities constitute production subject to 18 U.S.C. §§ 2257, 2257A, or any other applicable recordkeeping requirement.

Private Gather does not represent or warrant that every independent activity undertaken by every club, host, partner, member, or other third party is exempt from 18 U.S.C. §§ 2257 or 2257A.

Private Gather's age-verification, identity-verification, consent, moderation, automated media screening, content-safety, and account-enforcement requirements are independent platform safety measures and do not constitute an admission that Private Gather is a producer subject to the recordkeeping requirements of 18 U.S.C. §§ 2257 or 2257A.

Every identifiable person appearing in nude, sexually explicit, intimate, or other adult member content must have been at least 18 years old when the content was created.

Every identifiable person appearing in such content must also have provided all consent legally required for creation and distribution of that content through Private Gather.

Private Gather strictly prohibits:

  • Content involving minors;
  • Child sexual abuse material;
  • Nonconsensual intimate imagery;
  • Sexual exploitation;
  • Trafficking-related content; and
  • Other unlawful material.

Nothing in this section constitutes:

  • An admission that Private Gather is a producer under 18 U.S.C. §§ 2257 or 2257A;
  • An admission that Private Gather is required to maintain performer records under those statutes;
  • An admission that a club, host, partner, member, or other independent third party is a producer;
  • A representation that an independent third party can never become subject to those statutes; or
  • A waiver of any statutory exclusion, exemption, defense, immunity, or other legal protection available to Privora Labs or Private Gather.

16. PRIVATE CONTENT AND MEMBER CONFIDENTIALITY

Some Private Gather features may allow:

  • Private messaging;
  • Friends-only content;
  • Restricted albums;
  • Limited-access content;
  • Group content; or
  • Other non-public sharing.

You may not use content obtained through Private Gather to intentionally expose, intimidate, embarrass, blackmail, extort, or harm another user.

Without authorization, you may not:

  • Redistribute another user's private photographs;
  • Redistribute another user's intimate content;
  • Publish private messages for harassment;
  • Sell another member's private content;
  • Upload another member's private content to another website;
  • Record private video sessions where consent is legally required;
  • Threaten to expose another person's Private Gather membership;
  • Threaten to reveal another person's lifestyle participation; or
  • Use intimate material for blackmail or coercion.

Private Gather may implement technical measures intended to discourage downloading, copying, or unauthorized distribution.

However, Private Gather cannot guarantee that material displayed on another person's device cannot be photographed, screen-recorded, copied, captured, downloaded, or otherwise redistributed.

Users should consider this risk before sharing sensitive material.

17. PROSTITUTION, COMMERCIAL SEX, AND SEX TRAFFICKING

Private Gather may not be used to advertise, solicit, arrange, negotiate, purchase, sell, or facilitate prostitution or unlawful commercial sexual services.

You may not attempt to evade this rule through:

  • Coded terminology;
  • Gifts used as disguised payment;
  • Indirect payment arrangements;
  • Off-platform instructions intended to complete an illegal transaction; or
  • Other attempts to disguise prohibited commercial sexual activity.

Private Gather strictly prohibits:

  • Human trafficking;
  • Sex trafficking;
  • Sexual exploitation;
  • Forced sexual activity;
  • Coercive commercial sexual activity;
  • Recruitment for trafficking;
  • Commercial sexual exploitation of minors;
  • Transportation or harboring for prohibited sexual exploitation; and
  • Conduct intended to facilitate any such activity.

Private Gather may:

  • Remove content;
  • Restrict accounts;
  • Preserve records;
  • Investigate activity; and
  • Cooperate with appropriate authorities

when prohibited trafficking or exploitation is reasonably suspected.

Nothing in this section prohibits lawful discussion of sexuality, consensual adult relationships, sexual health, lifestyle topics, or lawful advocacy.

18. HARASSMENT, STALKING, AND DANGEROUS CONDUCT

You may not use Private Gather to:

  • Threaten another person;
  • Stalk another person;
  • Repeatedly contact someone after being told to stop;
  • Circumvent another user's block;
  • Blackmail or extort;
  • Dox another person;
  • Encourage violence;
  • Coordinate sexual assault;
  • Facilitate drugging another person;
  • Encourage nonconsensual sexual conduct;
  • Distribute intimate images without authorization;
  • Engage in hate-based harassment;
  • Maliciously target another user;
  • Intimidate someone into sexual activity; or
  • Threaten to expose someone's participation in Private Gather.

19. SPAM, SCRAPING, AND AUTOMATION

Unless expressly authorized by Private Gather, you may not:

  • Send bulk unsolicited messages;
  • Harvest email addresses;
  • Harvest telephone numbers;
  • Scrape member profiles;
  • Build unauthorized databases of Private Gather members;
  • Extract private member information;
  • Use bots to contact members;
  • Automate friend requests;
  • Automate romantic or sexual solicitations;
  • Circumvent rate limits;
  • Sell member data;
  • Use Private Gather for phishing;
  • Distribute malware;
  • Send deceptive commercial solicitations; or
  • Recruit members for another service through automated or mass messaging.

Authorized clubs, hosts, businesses, and promoters may use promotional features specifically made available by Private Gather subject to applicable rules.

20. CLUBS, HOSTS, ORGANIZERS, AND EVENTS

Private Gather may allow:

  • Clubs;
  • Lifestyle venues;
  • Hosts;
  • Promoters;
  • Event organizers; and
  • Individual members

to publish event information.

Unless an event is expressly identified as operated by Private Gather, Private Gather is not the:

  • Event organizer;
  • Venue owner;
  • Security provider;
  • Alcohol provider;
  • Transportation provider;
  • Event insurer; or
  • Guarantor of the event.

Event organizers are responsible for:

  • Compliance with law;
  • Age restrictions;
  • Appropriate licenses;
  • Permits;
  • Venue safety;
  • Security;
  • Capacity restrictions;
  • Alcohol compliance;
  • Admission policies;
  • Refund policies;
  • Accurate event descriptions; and
  • Conduct at their events.

Private Gather does not guarantee:

  • Event quality;
  • Event legality;
  • Event attendance;
  • Event availability;
  • Safety;
  • Accuracy of listings; or
  • Compatibility of attendees.

Members attend third-party events at their own discretion.

21. SUBSCRIPTIONS AND PAID FEATURES

Private Gather may offer:

  • Free accounts;
  • Paid memberships;
  • Subscription tiers;
  • Promotional memberships;
  • Premium functionality; and
  • Other paid products or services.

Applicable prices, billing periods, benefits, and taxes will be disclosed before purchase.

Unless otherwise disclosed at checkout, subscriptions may automatically renew at the end of the applicable billing period until canceled.

By purchasing an automatically renewing subscription, you authorize Private Gather and its payment processor to charge your selected payment method for applicable recurring charges.

You may cancel an automatically renewing Private Gather subscription at any time before the next renewal through the subscription cancellation control available in your Private Gather account under Membership & Billing or the applicable subscription-management area.

If the self-service cancellation control is temporarily unavailable or you are unable to access your account, you may request cancellation by emailing:

support@privategather.com

The cancellation request should be sent from the email address associated with your Private Gather account and should identify the account or subscription to be canceled.

Private Gather may reasonably verify account ownership before processing an emailed cancellation request.

If a subscription was purchased through an independent third-party payment platform or service that requires subscriptions to be managed directly through that provider, cancellation may need to be completed through that provider's subscription-management process.

Private Gather will not require a member to telephone Private Gather solely to cancel a subscription.

After cancellation, the subscription will not renew for another billing period.

Unless otherwise required by law or expressly stated, cancellation normally remains effective at the end of the then-current paid billing period, and the member may continue using applicable paid features through the remainder of that period.

Cancellation does not automatically create a right to a refund for amounts already charged.

Private Gather will honor additional cancellation and refund rights required by applicable law.

Where reasonably practicable, Private Gather will provide confirmation when an automatically renewing subscription has been canceled.

22. SUBSCRIPTION CHANGES

Private Gather may change:

  • Subscription prices;
  • Membership benefits;
  • Feature limits;
  • Storage allowances;
  • Messaging limits;
  • Visibility benefits; or
  • Other paid features.

Material changes affecting an existing paid subscription will be handled in accordance with applicable law.

Where required, Private Gather will provide advance notice before a changed recurring price becomes effective.

23. REFUNDS

Private Gather may issue refunds, credits, or membership extensions at its discretion.

A discretionary refund in one situation does not create an obligation to provide similar refunds in another situation.

Nothing in this section limits mandatory refund rights provided by applicable law.

24. PAYMENT PROCESSING

Private Gather may use independent third-party payment processors.

Private Gather may not receive or store your complete payment-card number.

Payment transactions may also be subject to terms imposed by:

  • Payment processors;
  • Card networks;
  • Financial institutions; or
  • Other payment providers.

You agree to provide valid payment information.

Fraudulent payments, unauthorized payment methods, or abuse of payment systems may result in account restriction or termination.

Nothing in these Terms prevents a user from exercising legitimate rights to challenge unauthorized or improper charges.

25. FREE ACCOUNTS

Private Gather may provide a free membership tier.

Private Gather may change features available to free accounts at any time.

Free features are not guaranteed to remain permanently available.

26. COMMUNITY MODERATION

Private Gather may establish Community Guidelines and other policies in addition to these Terms.

Private Gather may use automated systems and human moderators to review:

  • Reports;
  • Profiles;
  • Media;
  • Posts;
  • Comments;
  • Public activity;
  • Safety signals; and
  • Other content or behavior where reasonably necessary.

Depending on the circumstances, Private Gather may:

  • Issue warnings;
  • Restrict content;
  • Blur content;
  • Remove content;
  • Limit distribution;
  • Disable messaging;
  • Restrict uploads;
  • Remove verification;
  • Temporarily suspend an account;
  • Permanently terminate an account; or
  • Refer activity to appropriate authorities.

Private Gather is not required to use progressive discipline before taking action involving serious safety, legal, fraud, exploitation, or security concerns.

27. REPORTING USERS AND CONTENT

Users may report suspected violations using reporting tools available through Private Gather.

Reports may include concerns involving:

  • Harassment;
  • Minors;
  • Fake accounts;
  • Nonconsensual intimate imagery;
  • Fraud;
  • Threats;
  • Stalking;
  • Trafficking;
  • Copyright infringement;
  • Illegal content;
  • Consent violations; or
  • Other violations.

Reports may also be submitted to:

Knowingly submitting false reports for harassment, retaliation, or manipulation may itself constitute a violation.

Private Gather may protect the identity of reporting users where appropriate but cannot guarantee confidentiality where disclosure is legally required.

28. BLOCKING USERS

Private Gather may provide user-blocking functionality.

Users may not circumvent another person's block through:

  • Alternate accounts;
  • New accounts;
  • Couple profiles;
  • Group profiles;
  • Friends' accounts;
  • Business or club accounts; or
  • Other methods intended to bypass the block.

Continued attempts to contact a person who has clearly requested no further contact may constitute harassment.

29. SEXUAL HEALTH AND MEDICAL INFORMATION

Private Gather does not provide medical advice.

Statements made by members regarding:

  • STI status;
  • Testing;
  • Medications;
  • Vaccination;
  • Contraception;
  • Fertility;
  • Sexual health; or
  • Medical history

are user-supplied unless expressly stated otherwise.

Private Gather does not independently guarantee the accuracy of such information.

Members are responsible for making their own decisions regarding:

  • Safer-sex practices;
  • STI testing;
  • Healthcare;
  • Contraception;
  • Medical advice; and
  • Sexual risk.

Seek advice from a qualified healthcare professional where appropriate.

30. OFFLINE INTERACTIONS

Private Gather cannot control interactions that occur away from the Service.

You are responsible for determining:

  • Whether to meet someone;
  • When to meet;
  • Where to meet;
  • What information to disclose; and
  • Whether to participate in an activity.

Private Gather does not guarantee that:

  • A member's identity is accurate;
  • Photographs are current;
  • Relationship information is accurate;
  • A member has disclosed all relevant information;
  • A member has no criminal history;
  • A member has no history of dangerous conduct; or
  • An in-person interaction will be safe.

Use reasonable judgment and personal-safety precautions.

31. MEMBER DISPUTES

Members are primarily responsible for interactions and disputes with other members.

Private Gather may investigate reports involving violations of these Terms but is not obligated to mediate personal disagreements.

Private Gather may take action when a dispute indicates:

  • Harassment;
  • Threats;
  • Fraud;
  • Consent violations;
  • Safety risks;
  • Exploitation; or
  • Other policy violations.

32. INTELLECTUAL PROPERTY

The Private Gather and Privora Labs names, logos, trademarks, software, user interfaces, website designs, graphics, branding, databases, and other materials created by or for Private Gather are owned by Privora Labs or its licensors.

Except where legally permitted or expressly authorized, you may not:

  • Copy Private Gather's software;
  • Clone the Service;
  • Copy proprietary designs;
  • Copy branding;
  • Reverse engineer protected portions of the Service;
  • Sell access to Private Gather;
  • Remove copyright notices;
  • Remove trademark notices; or
  • Use Private Gather trademarks misleadingly.

Nothing in this section transfers ownership of User Content to Privora Labs or Private Gather.

No Internet-based platform can guarantee absolute security.

You may not:

  • Probe systems without permission;
  • Scan systems in a disruptive manner;
  • Introduce malware;

You may stop using Private Gather at any time.

Private Gather may suspend, restrict, or terminate an account where reasonably necessary to:

  • Enforce these Terms;
  • Protect members;
  • Prevent fraud;
  • Address security incidents;
  • Investigate abuse;
  • Meet legal obligations;
  • Prevent trafficking;
  • Prevent exploitation;
  • Protect minors;
  • Respond to repeated violations; or
  • Protect Private Gather and its community.

Serious violations may result in immediate termination without prior warning.

Circumstances that may justify immediate action include:

  • CSAM;
  • Trafficking;
  • Credible threats;
  • Nonconsensual intimate imagery;
  • Sexual exploitation;
  • Fraud;
  • Malicious system attacks;
  • Repeated harassment; or
  • Attempts to evade a previous permanent ban.

37. DELETED OR TERMINATED ACCOUNTS

When an account is deleted or terminated, public access to the profile may be removed.

Private Gather may retain information where reasonably necessary for:

  • Legal compliance;
  • Abuse prevention;
  • Child-safety reporting;
  • Fraud prevention;
  • Payment records;
  • Security;
  • Litigation;
  • Evidence preservation;

  • Other legitimate purposes permitted by law.

38. SERVICE AVAILABILITY

Private Gather is provided on an "as available" basis.

Private Gather does not guarantee uninterrupted availability.

  • Hosting outages;
  • Third-party failures;
  • Natural disasters;

  • Other circumstances outside Private Gather's reasonable control.

No particular feature is guaranteed to remain permanently available.

PRIVORA LABS AND PRIVATE GATHER DISCLAIM WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT; AND
  • OTHER WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED.

PRIVORA LABS AND PRIVATE GATHER DO NOT WARRANT THAT:

  • THE SERVICE WILL ALWAYS BE AVAILABLE;
  • EVERY USER IS WHO THEY CLAIM TO BE;
  • USER CONTENT IS ACCURATE;
  • EVERY MEMBER IS SAFE;
  • VERIFICATION WILL IDENTIFY EVERY FALSE IDENTITY;
  • CONTENT MODERATION WILL IDENTIFY EVERY VIOLATION;
  • AUTOMATED SAFETY SYSTEMS WILL ALWAYS CLASSIFY CONTENT CORRECTLY;
  • EVERY OFFLINE INTERACTION WILL BE SAFE; OR
  • USE OF THE SERVICE WILL RESULT IN ANY PARTICULAR RELATIONSHIP, FRIENDSHIP, MEETING, OR OUTCOME.

Some jurisdictions do not permit certain warranty exclusions, so some provisions may not apply to you.

42. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIVORA LABS, PRIVATE GATHER, AND THEIR OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO USE OF THE SERVICE.

WHERE PERMITTED BY LAW, THIS INCLUDES DAMAGES ARISING FROM:

  • MEMBER CONDUCT;
  • OFFLINE INTERACTIONS;
  • LOSS OF DATA;
  • LOSS OF CONTENT;
  • SERVICE INTERRUPTION;
  • UNAUTHORIZED REDISTRIBUTION OF CONTENT BY ANOTHER MEMBER;
  • RELIANCE ON USER-SUPPLIED INFORMATION;
  • LOST PROFITS; OR
  • OTHER CONSEQUENTIAL LOSSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIVORA LABS' AND PRIVATE GATHER'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID PRIVATE GATHER DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

(B) $100.00.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

43. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Privora Labs, Private Gather, and their:

  • Affiliates;
  • Owners;
  • Officers;
  • Directors;
  • Employees;
  • Contractors; and
  • Agents

from claims, liabilities, damages, losses, and reasonable legal expenses arising from:

  • Your violation of these Terms;
  • Your User Content;
  • Your violation of another person's privacy;
  • Your violation of another person's consent rights;
  • Your infringement of intellectual-property rights;
  • Your unlawful conduct;
  • An event you organize;
  • False representations made by you; or
  • Your misuse of the Service.

This provision applies only to the extent permitted by law.

44. GOVERNING LAW AND VENUE

These Terms and any dispute arising from or relating to Private Gather or the Service are governed by the laws of the State of Louisiana, without regard to conflict-of-law principles, except to the extent that applicable law requires otherwise.

Nothing in these Terms is intended to deprive a consumer of any non-waivable right or protection provided by the law of the consumer's state, country, or other applicable jurisdiction.

Subject to any mandatory jurisdiction, venue, or consumer-protection rights provided by applicable law, any legal proceeding arising from or relating to these Terms, Private Gather, or the Service may be brought in:

  • An appropriate state court located in Lafayette Parish, Louisiana; or
  • The United States District Court for the Western District of Louisiana, including the Lafayette Division where applicable.

Privora Labs and the user consent to the personal jurisdiction of those courts to the extent permitted by applicable law.

Nothing in this section prevents Privora Labs or a user from:

  • Seeking emergency or temporary injunctive relief where legally appropriate;
  • Bringing a claim in small-claims court when eligible;
  • Exercising a right to bring a proceeding in another jurisdiction when applicable law provides a non-waivable right to do so; or
  • Using another forum when required by applicable law.

45. DISPUTE RESOLUTION

Before filing a formal legal claim, you and Privora Labs agree to make a reasonable good-faith effort to resolve the dispute informally.

Any mandatory arbitration provision, jury-trial waiver, or class-action waiver adopted by Privora Labs should be separately reviewed and implemented in accordance with applicable law.

46. CHANGES TO THESE TERMS

Private Gather may update these Terms as:

  • The Service changes;
  • Features are added;
  • Applicable law changes;
  • Safety requirements change; or
  • Business practices evolve.

When Private Gather makes a material change, notice may be provided:

  • Through the Service;
  • By email;
  • Through an account notification; or
  • Through another reasonable method.

Updated Terms will identify their effective date.

Where legally required, Private Gather will obtain additional consent before materially revised Terms become binding.

48. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without Privora Labs' authorization.

Privora Labs may assign these Terms in connection with:

  • Sale of assets;
  • Sale of the business; or
  • Transfer of Private Gather,

subject to applicable law.

49. SEVERABILITY

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions remain effective to the fullest extent permitted by law.

Where permitted, an invalid provision will be interpreted or modified only to the minimum extent necessary to make it enforceable.

50. NO WAIVER

Failure by Privora Labs or Private Gather to enforce any provision of these Terms does not waive the right to enforce that provision later.

A waiver in one circumstance does not constitute a continuing waiver.

51. ENTIRE AGREEMENT

These Terms, together with the:

  • Privacy Policy;
  • Community Guidelines;
  • Adult Content Policy;
  • Copyright / DMCA Policy;
  • 18 U.S.C. §§ 2257 and 2257A Statement;
  • Subscription terms;
  • Event terms; and
  • Other policies expressly incorporated by reference

constitute the agreement between you and Privora Labs regarding your use of Private Gather.

If supplemental terms apply to a specific feature, those supplemental terms control for that feature to the extent of any direct conflict.
